Adding companies and funding rounds to Portfolio

Only members who have full edit access to Portfolio can add and edit information in Portfolio.

Adding data from funnel to Portfolio


It’s possible to add a company and/or a funding round to Portfolio straight from the funnel. If you have managed a funding round or collected funding interests from members on the application, you can also copy those over to the portfolio as member investments. Please note that only financial information about the round can be added to Portfolio, company information will remain on the application in your funnel.

If you have managed a funding round on the application, we recommend changing the round status to closed before adding the round information to the portfolio. If the round status is "Closed", members will no longer be able to add new or edit their existing funding interest in the round.

To add round information from funnel to Portfolio:
open the All actions menu of the application the round was managed/funding interests were collected on
choose “Add to portfolio”
give the round a name
choose whether it will be added to portfolio as an equity round, convertible note, loan or SAFE
tick the “Convert [deal room name] member funding interests” checkbox if you want to copy member interests to portfolio as member investments and transfer the round lead rights to portfolio (if they have been granted to any members)
tick the “Lock company changes” checkbox if you want to lock the company application for changes
click “Add to portfolio” to confirm

Once the round information has been added to Portfolio:
total investment amount by the deal room is automatically filled in as a sum of member investments
funding interests added by members are listed as member investments in the round with investment amounts that were indicated on the application (unless you exclude members when adding the round)
members who were assigned as round leads in the funding round automatically get the lead investor rights for the company in Portfolio as well (unless you exclude members when adding the round)
round in the portfolio is automatically linked to the company application investment interests were collected on before closing the round

You can navigate to the application that is connected to the round by clicking on the round name in Portfolio.

Please note that funding interests that are marked on the application after the round information has been added to Portfolio will not be synced to Portfolio. Once the round has been added to Portfolio, the round information can be edited directly in Portfolio.

If you add funding round information of a company that is not in the deal room’s Portfolio yet, a new portfolio company will be created. If you add funding round information of a company that is already in Portfolio, a new funding round will be added to the existing portfolio company.


Adding data directly in Portfolio


To add a new portfolio company directly from the Portfolio view:
navigate to the Portfolio page from the left-side menu
click on “Add portfolio company”
type in the company name (the system will suggest companies that you have in your funnel and you can select a match if you wish)
click “ Add company”

You can now start adding information about the round the company has raised. It is possible to add equity and other types of rounds to Portfolio in Dealum. Other rounds include convertible notes, loans and SAFEs.


Equity and other types of rounds


Equity rounds

To add an equity round directly from the Portfolio view:
navigate to the Portfolio page from the left-side menu
find a company you want to add the round to (if the company is not in the portfolio yet, you have to add it first)
click on the company name
click on “Add round” in the Equity section

You can add the following information about equity rounds:
Round name
Related application — choose which company application in your funnel the round is connected to (if any)
Amount invested — total amount you or the entity invested in (if you’re managing a portfolio of an investor group, you should enter the amount the group members invested in total)
Round size (this might be bigger than the amount invested if other investors/funds/groups also participated in the round)
Signing date
Pre-money valuation
Total shares before the round — total number of shares the company had issued before this round
Share price (for the current round)
Shares acquired — number of shares that were issued to you/the entity (if you’re managing a portfolio of an investor group, enter the total number of shares your group members received)
Total shares issued — number of new shares issued with this round
Description — any additional information you want to add about the round in free text format; visible to everyone who has the right to view this round in the deal room’s Portfolio
Investors — list members and optionally external investors who invested in this round, their investment amounts and the number of shares each of them acquired

You can mark investors as lead investors to give them administrative rights for the specific company in Portfolio. That would allow them to add and edit funding rounds, request reporting updates (if the company's reporting information is available in Portfolio), and manage the portfolio discussion and portfolio documents of the company.


You can also add a description to the investment of each investor. That description would be visible to anyone who has the right to view that specific investment in your deal room’s Portfolio.


Some numbers are calculated automatically when you’re entering data. For example, if you have entered “Amount invested” and “Share price”, the system will automatically calculate values for fields “Shares acquired” and “Total shares issued”. If you enter “Amount invested” for any individual investor, value for the field “Shares issued to investor” will be automatically calculated.

Calculations are based on the following formulas:
Total shares issued = Round size / Share price
Shares acquired = Amount invested (by the deal room) / Share price
Shares issued to investor = Amount invested (by the investor) / Share price

After the round has been added, you will also see the following information about the round that is calculated automatically:
Total shares after round — calculated as Total shares before round + Total shares issued
Stake — calculated as Shares acquired / Total shares after round
Value of stake — calculated as Stake x (Pre-money valuation + Round size)
Multiple — calculated as Value of stake / Amount invested

If you have added member investments to the round, the following values will be calculated for each member investment:
Stake — calculated as Shares issued to investor / Total shares after round
Value of stake — calculated as investor’s Stake x (Pre-money valuation + Round size)

Please note that if some of the information the calculations are based on is missing, the values listed above will not be calculated and shown.

Other rounds — convertible notes, loans, SAFEs

To add a convertible note, loan or SAFE directly from the Portfolio view:
navigate to the Portfolio page from the left-side menu
find a company you want to add the round to (if the company is not in the portfolio yet, you have to add it first)
click on the company name
click on “Add round” in the Other section
choose the type of round you want to add


You can add the following information about other types of rounds:
Name/identifier
Related application — choose which company application in your funnel the round is connected to (if any)
Amount — total amount you or the entity invested in the round (if you’re managing a portfolio of an investor group, you should enter the amount the group members invested in total)
Round size (this might be bigger than the Amount if other investors/funds/groups also participated in the round)
Valuation cap (not applicable for loans)
Interest (%) (not applicable for SAFEs)
Discount (%) (not applicable for loans)
Days in a year (not applicable for SAFEs) - length of the year used in calculations
Issue date
Maturity date (not applicable for SAFEs)
Description — any additional information you want to add about the round in free text format, e.g. SAFE terms; visible to everyone who has the right to view this round in the deal room’s Portfolio
Investors — list members and optionally external investors who invested in this round and their investment amounts

Just as with equity rounds, you can also add a description to the investment of each investor and assign investors to be lead investors.

After the round has been added, you will also see accrued interest for loans and convertible notes that is calculated automatically. Round type is shown below the name of each round.

Convertible notes and SAFEs can be converted to equity or marked as paid back. Loans can be marked as paid back.


If you convert a note or SAFE to equity, you have to enter information about the equity round the conversion took place with.


Editing round information


You can edit information of all rounds in the portfolio, regardless of whether the round was added from the funnel or directly from the Portfolio view.

To edit information about the round:
locate the round in the portfolio
open the menu from the down-pointing arrow at the end of the row that displays round information
choose “Edit”
edit/add the necessary information
click “Save”


When editing certain information about an existing round, you have an option to let the system recalculate related fields using the new number you entered. For that, use the “Recalculate related fields” button shown in the field.


If you edit the share price of an equity round for example, you can let the system recalculate how many shares were issued to the deal room in total as well as to each member who participated in the round.


Recording stock splits in Portfolio


Stock splits should be recorded as equity rounds where the deal room and its members (if applicable) received additional shares for free.

For example, if the company had 1M shares in total, the deal room owned 100 000 shares, member A owned 40 000 and member B owned 60 000 shares and there was a 3-for-1 split, it should be recorded as follows:
Round name — give the name a descriptive name so your deal room members would understand what the round represents
Related application — most likely there is no application related to the split and this field can be left empty
Amount invested — enter "0" to this field
Round size — leave this field empty
Signing date — enter the date the split happened
Pre-money valuation — you can enter the current valuation of the company
Total shares before the round — total number of shares the company had issued before this round
Share price — enter the current share price
Shares acquired — number of additional shares that were issued to you/the entity (if you’re managing a portfolio of an investor group, enter the total number of additional shares your group members received); in case of this example 200 000 would be entered (calculated as 100 000 x 3 - 100 000)
Total shares issued — number of new shares issued; in case of this example 2 000 000 would be entered (calculated as 1 000 000 x 3 - 1 000 000)
Description — any additional information you want to add about the round in free text format; visible to everyone who has the right to view this round in the deal room’s Portfolio
Investors — list members and optionally external investors who received additional shared with the split and the number of shares each of them acquired; in case of this example the Amount invested field would be filled with "0" for both members, Shares issued to investor field would be filled with 80 000 for member A (calculated as 40 000 x 3 - 40 000) and with 120 000 for member B (calculated as 60 000 x 3 - 60 000)
